PREAMBLE

MACHA LORENT S.A.S with a capital of 1,200 euros, whose registered office is located at LD CASACCE 20166 PIETROSELLA (France), registered in the Ajaccio Trade and Companies Register under number 912927746, creates, produces and commercially exploits the MACHA LORENT brand.

The purpose of these General Terms and Conditions of Sale is to define the rules applicable to the sale of MACHA LORENT branded products (hereinafter "the product(s)") on the site,

And

Any individual of legal age, non-trading, with the legal capacity to contract, exclusively domiciled in the countries delivered by www.machalorent.com (hereinafter "the Customer") purchasing a product on the site.

For the purposes hereof, it is agreed that the Customer and MACHA LORENT shall be collectively referred to as the "Parties" and individually referred to as the "Party".

These G.S.T. shall govern without restriction the sale of products by MACHA LORENT on behalf of MACHA LORENT from the Site. MACHA LORENT reserves the right to modify these G.S.T. at any time by publishing a new version on the site. The applicable G.S.T. are those in force on the site on the date the order is placed by the customer; it being specified that any order for a product offered on the site implies the customer's full and entire acceptance of the G.S.T. in force at the time the order is placed.

Article 1 - Purpose

The purpose of the General Terms herein is to define the terms and conditions according to which products are marketed by MACHA LORENT to its clients. They regulate the various stages of the sale from the moment the order is placed by the customer.

Article 2 - Products

The products offered for sale by MACHA LORENT under the name MACHA LORENT are those listed on the site on the day of consultation by the customer. Each product is the subject of a description sheet which, in addition to the photograph, contains: Price, available sizes and colors, composition and special features. Minor differences between a product and its photograph may exist, depending in particular on the resolution and color definition of the user's screen. MACHA LORENT undertakes to deliver products which comply with current regulations relating to the health and safety of persons in accordance with European provisions, and in particular with legislation on regulated chemical substances.

Article 3 - Prices

Prices are indicated by default in Euros, but can be displayed in USD on request. Prices include all taxes, but exclude delivery charges. Delivery costs are communicated to the customer on the order summary page before the order is confirmed, and are inclusive of all taxes. These costs are payable by the customer and are invoiced in addition to the sale price of the products. The transfer of the risks of loss and deterioration of the products will take place after delivery and receipt of the products by the customer. We reserve the right to modify our prices at any time, but we undertake to apply the prices indicated on the site at the time the order is placed. We inform you that in the event of the display of an erroneous or obviously derisory price (low price), for whatever reason (computer bug, manual error, technical error), the order - even if validated by us - will be cancelled, and we will inform you of this as soon as possible. You will then be able, if you wish, to place your order again at the corrected and exact price.

Article 4 - Product ordering and payment

-4.1 Placing an order

The customer places an order by completing the following 5 steps

- Step 1: the customer selects the chosen products and adds them to his or her first basket after selecting the desired size and color. The basket at the top right of the screen informs the customer that the selections have been taken into account, indicating the number of products it contains.

- Step 2: the customer checks the contents of the basket by clicking on "order" to access the order summary. The customer can then modify the order "product, size, quantity". The total amount of the order, including VAT, distinguishing between the price due for the products and the delivery charges, is then indicated in the summary.

- Step 3: Once the order has been checked and modified if necessary, the customer validates the basket to finalize the order by clicking on "order" again. If the customer has an advantage code, reserved for the best customers, he/she must enter it in the space provided before benefiting from it.

- Step 4: Customer enters delivery and billing details: all fields are required to finalize the order; unless otherwise specified by the customer, the billing address will automatically be the same as the delivery address. If the customer has already placed an order on the site, he/she will have a customer account. In this case, he/she will only identify himself/herself with his/her e-mail address and password. The customer then checks all the information and clicks on "validate" to continue with the order.

- Step 5: entering bank details: the customer will then access the secure payment screen of MACHA LORENT's partner as specified in article 4.3 below. Payment is made online by credit card and Paypal only. The customer must enter his credit card number, its validity date and the 3 numbers of the visual cryptogram on the back of his card. If payment is accepted, the customer will be redirected to an order confirmation screen on the site. If payment fails, the customer will have up to 3 attempts to re-enter their bank details. After the 3rd refusal, the customer will be redirected to a screen on the site indicating that payment has been refused. The customer will then be invited to contact MACHA LORENT customer service to find out the reasons for the refusal and to work together to find a solution to finalize the customer's order.

-4.2 Order confirmation

As soon as the customer's payment has been accepted, the customer will receive an e-mail confirming the order and summarizing all the items ordered, the billing and delivery address and the delivery date. The validation of the order by the customer and the order confirmation sent to the customer by e-mail by MACHA LORENT under the name of MACHA LORENT following the acceptance of payment constitute the conclusion of a sales contract between the parties and acceptance of the G.S.T.. Customers who have placed an order may print their invoice by logging on to the site in the "order tracking" area provided for this purpose. MACHA LORENT reserves the right not to validate the order in the event of:

. abnormal or abusive complaints

. abnormal orders in relation to quantities ordered

. abnormal or abusive exchanges and returns

. an existing dispute with the customer

The MACHA LORENT customer service department is available to answer any questions the customer may have about his or her order. Customer service is available by e-mail: customer@machalorent.com.

-4.3 Payment

The price of products purchased is payable in full on the day the order is placed by the customer. Payment is made online by credit card (Carte Bleue, Visa, Mastercard) or Paypal when the order is validated by the customer. Authorization to debit the card is requested when the order is validated on the site, except in the event of server unavailability. MACHA LORENT reserves the right to proceed with a direct debit authorization request in the event that the first request is unsuccessful due to server unavailability. In the event of non-payment, incorrect address or any other problem with the customer's account, MACHA LORENT reserves the right to block the customer's order until the problem has been resolved. In the event of fraudulent use of the customer's credit card on the site, the customer is invited to contact customer@machalorent.com. MACHA LORENT uses all necessary means to ensure the confidentiality and security of banking data transmitted on the site. The site is equipped with a secure online payment system that encrypts your bank details. Payment information is transmitted according to the highest security standards. The transmission of your bank details is guaranteed by our partner PAYPLUG. All information exchanged to process payment is encrypted using SSL protocol. This data cannot be detected, intercepted or used by third parties. At no time does the customer's financial data pass through MACHA LORENT's computer system. PAYPLUG verifies that the connection with the customer's browser is secure before sending the payment form to the banking institution which carries out the financial transaction. As PAYPLUG is a technical service provider, it does not take charge of order-related disputes, which are handled directly by the customer service department as specified above, or by the customer's bank if necessary.

-4.4 Order archiving

The order confirmation is recorded on MACHA LORENT's registers, which are themselves kept on a reliable and durable medium. The customer accepts that the order confirmation is considered as proof of the contractual relationship between the parties.

Article 5 - Delivery

MACHA LORENT will deliver orders accompanied by a delivery note within a maximum of 6 working days* for delivery to Metropolitan France and 20 working days for delivery to any other destination, starting from the day following payment of the order. All orders placed on the site from Monday to Friday before 1pm will be processed the same day; after 1pm, they will be processed the following day. All orders placed on Fridays after 1pm, Saturdays and Sundays will be processed on the following Monday; orders placed on public holidays will be processed on the following day. If the delivery time is exceeded, without justification by a case of force majeure, the customer may request the cancellation of the sale and obtain a refund of the sums paid for the sale within a maximum period of 30 days. For orders outside mainland France, when the parcel intended for export reaches its destination, it will be the responsibility of the recipient to pay any taxes or customs duties applicable in the destination country. Local authorities can provide useful information.

From January 1, 2021, for a parcel with a value of over 135 £ destined for export to the United Kingdom, the recipient will be responsible for paying the taxes or customs duties applicable in the country of destination.

*During the launch period, order preparation times are longer. Please allow up to 10 working days.

Article 6 - Receipt of order - Complaints - Returns

The customer is obliged to check the conformity of the products received in execution of his order at the time of delivery. Any anomaly concerning the delivery such as:

. damaged packages,

. missing products

. damaged products

. products not conforming to the order,

must be notified within the legal time limit following receipt of the order. This notification will be sent to the MACHA LORENT customer service department either:

. by e-mail to customer@machalorent.com

After this period and except for hidden defects, no claim will be accepted by MACHA LORENT, the products then being deemed compliant. For all returns of non-conforming products, the customer must comply with the following procedure:

. the customer must enclose a returns slip from the customer service department with his parcel, mentioning the returns number allocated to him

. products must be returned either in their original packaging, or in packaging protecting the product against any deterioration, with their label and any accessories enabling them to be marketed again, to the following address:

. the risks and costs of return are borne exclusively by the customer.

Once the non-conformity has been established, MACHA LORENT will offer the customer a refund of the price of the order (price of the products and delivery costs) as well as the cost of returning the non-conforming product, at the latest within 30 days from the date of dispatch of the notification of confirmation of the non-conformity by the site's customer service department. In the event of a refund, MACHA LORENT will reimburse all products returned in conformity, as well as the shipping costs incurred, with the exception of taxes and customs duties paid by the customer at the time of delivery. Cash on delivery returns are not accepted. Upon receipt of a non-conforming item, MACHA LORENT will pay the return postage costs.

Article 7 - Right of withdrawal

The customer has a period of 15 days from the date of receipt of the order to return the products ordered. For all returns under the right of withdrawal, the procedure below must be followed in full:

The customer must enclose the returns form issued by customer service, indicating the returns number. Products must be returned in their original packaging, with their label and any accessories, in perfect condition to: MACHA LORENT c/o KAIROS LOGISTIQUE - 17/21, rue de la ferme St Ladre - Entrepôt CIE - 95470 St Witz - France. The risks and costs of return are borne exclusively by the customer. Subject to the above conditions, MACHA LORENT will reimburse the customer for the amount of the order including VAT (product price), excluding delivery and return costs. The customer's bank account will be credited with the said amount within 15 days of receipt of the products by MACHA LORENT.

Article 8 - Personal data

MACHA LORENT receives a certain amount of information necessary to process orders. This data is not only necessary for MACHA LORENT to process the customer's order, but also to provide the customer with information on the MACHA LORENT brand, on the site or to enable the customer to benefit from MACHA LORENT commercial offers; if the customer accepts this by validating his order. This information is strictly confidential and is marked with an asterisk when it is necessary for MACHA LORENT and/or its service providers to manage the customer's order. MACHA LORENT may be required by legal authorities or in order to defend its rights or those of its employees, customers or any other person, to communicate this data to legally authorized organizations and authorities. MACHA LORENT undertakes to take all necessary precautions to ensure the security of its files and the protection of its computer system, and in particular to prevent the customer's personal information from being distorted, damaged or accessed by unauthorized third parties. The customer's personal information is sent to and stored at the site's host located in France, whose contact details appear on the site under the heading "Legal Information". In accordance with the French Data Protection Act of January 6, 1978, as amended by the Act of August 6, 2004, customers have the right to access, rectify, modify and delete data concerning them. The site is registered with the Commission Nationale de l'Informatique et Libertés (CNIL) under number 2148964v0. The customer may exercise this right by sending a letter to customer@machalorent.com.

Customers can also modify their personal details in their customer area by logging in with their e-mail address and password.

Article 9 - Cookies

In order to process the customer's order and to better understand the customer's needs and personalize the services offered on the site, MACHA LORENT uses cookies. A cookie is a computer file stored on the hard disk of the customer's computer, the purpose of which is to indicate that the customer has visited the site. Cookies memorize the time customers spend on the site, their identity and the contents of their shopping cart. Once disconnected from the site, this information is stored for 30 days before being permanently deleted. Customers may prevent cookies from being stored by configuring their web browser. In this case, the customer loses all personalization of the service offered on the site.

Article 10 - Limitation of liability

Placing an order on the site implies knowledge and acceptance of the procedures in force on the Internet network, in particular with regard to technical performance, response times, connection times, queries or transfers of information, risks of interruption, risks of contamination by viruses circulating on the network and, in general, all risks associated with the use of the Internet network. MACHA LORENT shall not be held liable for any direct or indirect damage resulting from misuse or incident related to the use of the computer, access to the Internet, maintenance or malfunction of servers, telephone lines or any other technical connection, the customer's connection to the site being under his sole responsibility.

Article - 11 Force majeure

MACHA LORENT shall not be liable for total or partial non-performance of its obligations under the order placed by the customer, if such non-performance is caused by an event constituting force majeure as defined by positive law. In such a case, the customer service department will inform the customer of the occurrence of such an event within 3 clear days of its occurrence, by e-mail. After a period of one month and in the event that the event constituting a case of force majeure persists, the order will be cancelled and MACHA LORENT will reimburse the credit card used to place the order within a maximum period of 30 days.

Article - 12 Applicable law

Should any of the terms of these G.S.C. be declared null and void, illegal or unenforceable by a court decision, the other provisions of the G.S.C. shall remain in force. The G.T.C. are executed in accordance with French law. In the event of dispute, the customer shall first contact MACHA LORENT to obtain an amicable solution. Failing agreement, the courts of common law shall have sole jurisdiction.
